What is a Virtual Meeting / Virtual AGM?

A special note on AGM’s.  On the 20th March 2020, ASIC (Australian Securities and Investment Commission) published “20-068MR Guidelines for meeting upcoming AGM and financial reporting requirements” on conducting a Virtual AGM or Hybrid AGM.  While it is strongly recommended that you read this paper yourselves and seek your own legal advice, in my opinion the main take-home points seem to be that a) The remote participants must be able to ask questions and b) there must be an ability for participants to vote.

The Virtual Meeting / Virtual AGM is basically a presentation with no local audience, however participants can view the proceedings remotely with the ability to ask questions and, in the case of AGM’s, the ability to cast a vote.  Based on current work place restrictions, you could have a number of presenters and technical crew in a given location with an unlimited number of remote audience members viewing the proceedings.

You could even have a multiple, small groups of presenters or even a single or multiple  presenter at a remote location – for example;

Location 1:  Sydney Corporate Office
Audience Size:  Nil
Presenters: 3
Professional Lighting, Presentation Hardware, Bonded 4G Internet Connection and Pre-configured presentation hardware

Location 2:  Melbourne Webcast Studio at AV Company Office
Audience Size:  Nil
Presenters: 4

What is a Hybrid Meeting / Hybrid AGM?

The Hybrid Meeting / Hybrid AGM is based on restrictions on audience size. At the time of writing, all meetings of any size are effectively banned, but once the foot starts to slowing come off the brake we will likely see the ability to hold a meeting based on the 1-per-4-square-metre rule.  This means you will have a very large room with a smaller number of people in it – and remember, you have to allow for everyone in the room, not just the audience.  You will have to allow for hotel staff, speakers, organisers and, of course, any AV staff.

So with these restrictions and possibly even a lack of desire to travel in the future, the Hybrid Meeting / Hybrid AGM means you can even have multiple, smaller meetings in various locations with presenters from each location able to be seen and heard in all.  Here’s an example:

Meeting 1: Sydney
Audience Size: 100 (limited by room capacity and restrictions in place)
Presenters: 3
